These Terms of Service (“Terms”) govern access to and use of the Therhappy platform, including all websites, applications, features, and related services (collectively, the “Services”), operated by Same Time Next Week LLC (“Company”, “Therhappy”, “we”, “us”, or “our”).
By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not access or use the Services.
1. Definitions
- “Provider” means a licensed healthcare professional, practice, or organization using the Services.
- “Authorized User” means staff or personnel authorized by a Provider.
- “Client” means a patient or end user receiving services from a Provider.
- “PHI” means Protected Health Information as defined by HIPAA.
2. Eligibility and Account Registration
The Services are intended solely for use by Providers and their Authorized Users. By registering, you represent that you are legally permitted to provide healthcare services in your jurisdiction.
You are responsible for all activity that occurs under your account, including actions taken by Authorized Users.
3. Relationship of the Parties
Therhappy is a technology platform only. We do not provide medical, mental health, clinical, legal, billing, coding, or regulatory compliance services.
Providers retain sole responsibility for clinical decisions, record accuracy, patient communications, and legal compliance.
4. No Relationship with Clients
Clients are not parties to these Terms. Therhappy has no contractual, fiduciary, or professional relationship with Clients and owes no duty of care directly to Clients.
5. Not for Emergency or Crisis Use
The Services are not intended for use in medical or mental health emergencies. Therhappy does not monitor communications in real time and does not provide crisis intervention, emergency response, or suicide prevention services.
6. Use of the Services
You agree to use the Services only for lawful purposes and in compliance with all applicable laws.
- No unauthorized access or security testing
- No interference with platform operations
- No use in violation of privacy or healthcare laws
7. Patient Data and HIPAA
Providers retain ownership and control of Client data. Therhappy processes data solely as a Business Associate under HIPAA.
Providers are responsible for configuring permissions, roles, and access controls.
8. Data Accuracy and Clinical Content
Therhappy does not review, validate, or verify clinical content. Providers are responsible for accuracy, completeness, and appropriateness of records.
9. Security Measures
Therhappy implements reasonable and appropriate administrative, technical, and physical safeguards consistent with HIPAA and industry standards.
No system can be guaranteed to be completely secure.
10. User Responsibilities
You are responsible for safeguarding credentials, securing devices, and preventing unauthorized access.
11. Electronic Communications
Therhappy does not guarantee delivery, timing, or receipt of messages, notifications, or communications transmitted through the Services.
12. Telehealth and Video Services Disclaimer
Telehealth features rely on third-party technologies and network conditions. Therhappy does not guarantee video quality, audio quality, connectivity, or session continuity.
Providers are solely responsible for determining whether telehealth is appropriate for a given Client and for complying with telehealth laws.
13. Service Availability
The Services are provided “as is” and “as available.” Therhappy does not guarantee uninterrupted or error-free operation.
14. Fees and Payments
Fees and billing terms are disclosed at the time of purchase. Therhappy does not guarantee insurance reimbursement or payment outcomes.
15. Suspension and Termination
Therhappy may suspend or terminate access at any time for violations of these Terms or to protect security or compliance.
16. Data Export and Backups
Providers are responsible for exporting and maintaining independent backups of their data. Therhappy is not responsible for data loss.
17. De-Identified and Aggregated Data
Therhappy may use de-identified and aggregated data for analytics and service improvement, as permitted by law.
18. Beta and Experimental Features
Certain features may be designated as beta or experimental. Such features are provided without warranties and may be modified or discontinued at any time.
19. Feedback License
You grant Therhappy a perpetual, irrevocable, royalty-free license to use, modify, and incorporate feedback or suggestions without compensation.
20. Third-Party Services
Therhappy is not responsible for third-party services, integrations, or infrastructure relied upon by the Services.
21. Export Controls and Sanctions
You represent that you are not located in, under control of, or a national of any country subject to U.S. trade sanctions and are not listed on any restricted party list.
22. DMCA Copyright Policy
Therhappy responds to valid copyright infringement notices in accordance with applicable law and may remove infringing content.
23. Government Requests and Audits
Therhappy may comply with lawful government requests, audits, or regulatory inquiries as required by law.
24. Disclaimer of Warranties
To the maximum extent permitted by law, the Services are provided without warranties of any kind, express or implied.
25. Limitation of Liability
To the maximum extent permitted by law, Same Time Next Week LLC shall not be liable for indirect, incidental, consequential, special, or punitive damages.
Total liability shall not exceed fees paid in the twelve (12) months preceding the claim.
26. Indemnification
You agree to indemnify and hold harmless Same Time Next Week LLC from claims arising out of your use of the Services, including clinical decisions and legal compliance.
27. Arbitration and Class Action Waiver
Any dispute arising from these Terms shall be resolved by binding individual arbitration. You waive the right to participate in class actions, class arbitrations, or representative proceedings.
You waive the right to a jury trial to the maximum extent permitted by law.
28. Governing Law and Venue
These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.
29. Assignment
Therhappy may assign these Terms without restriction. You may not assign without prior written consent.
30. Survival
Sections related to liability, indemnification, arbitration, and disclaimers survive termination.
31. Entire Agreement
These Terms, together with the Privacy Policy and any Business Associate Agreement, constitute the entire agreement.
